U.S. Antitrust Clearance Secures Path for Joint Venture Completion

Saipem and Subsea7 have successfully navigated a critical regulatory phase in the United States, marking a significant step forward in their proposed merger. The expiration of the mandatory waiting period under the Hart-Scott-Rodino (HSR) Antitrust Improvements Act of 1976 removes a key obstacle, enabling the transaction to proceed toward closure in U.S. jurisdictions.

The HSR Act requires companies involved in large mergers and acquisitions to notify the Federal Trade Commission (FTC) and the Department of Justice (DOJ) before completing the deal. This waiting period allows regulators to assess potential antitrust concerns. With this requirement now satisfied, Saipem and Subsea7 can advance their integration plans without further U.S. regulatory delays.

Both companies, leaders in offshore engineering, construction, and subsea services, announced the merger in early 2024, aiming to strengthen their market position in energy transition projects, deepwater developments, and offshore wind initiatives.
